Mayfair Hotels & Resorts Limited ("the Company") hereby informs all stakeholders that, pursuant to the Scheme of Amalgamation sanctioned by the Hon'ble National Company Law Tribunal under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013, Mayfair Sikkim Limited has been amalgamated with Mayfair Hotels & Resorts Limited.

The Scheme of Amalgamation has an Appointed Date of 01.04.2023 and became effective on 20.12.2024 upon filing of the certified copy of the Order of the Hon'ble National Company Law Tribunal with the Registrar of Companies, in accordance with the provisions of the Companies Act, 2013.

Consequently:

• Mayfair Sikkim Limited stands dissolved without winding up and has ceased to exist as a separate legal entity.
• All assets, properties, rights, licences, approvals, contracts, employees, obligations, and liabilities of Mayfair Sikkim Limited have vested in and are now those of Mayfair Hotels & Resorts Limited in accordance with the sanctioned Scheme of Amalgamation.
• All business operations previously carried on by Mayfair Sikkim Limited are now undertaken by Mayfair Hotels & Resorts Limited.
• Any reference to Mayfair Sikkim Limited in agreements, records, correspondence, or other documents shall, where applicable and in accordance with the Scheme of Amalgamation, be construed as a reference to Mayfair Hotels & Resorts Limited.

 

The amalgamation has been effected pursuant to the Order of the Hon'ble National Company Law Tribunal and in accordance with the provisions of the Companies Act, 2013.
